How it works
How funding could work
Concise overview of a proposed way catalytic capital could support the CHR-P programme — plus one development-objective diagram and expandable detail. Not an offer · not a prospectus · not open subscription.

Funding overview
We are evaluating a platform-supported route for eligible investors to help finance the CHR-P research programme, including a permissioned digital record of participation at closing where that proves feasible. If a platform path cannot meet legal, operational or investor-access requirements, a conventional private placement with a legal investor register remains the fallback. These are development objectives, not live offering terms. Neither path is available on this website: production investment, payment and token issuance remain inactive. Community updates and discussion are separate from any regulated investment process.
Any ~US$10 million figure is a planning target only — not money already raised, and not a claim that catalytic capital fully funds the Phase 2B programme.

Proposed flow diagram
Eligible investors → programme vehicle → milestone releases to NWPT as sponsor → later qualifying receipts (if any) → register holders (may be zero). A permissioned digital unit under evaluation would only mirror the register; the register wins on conflict.
- Capital raised Eligible investors · private docs · not on this website
- Programme funding Bank / custody · dual control · ops milestone releases only
- NWPT as sponsor Protocol · safety · CMC · regulatory · no medical voting by holders
- Potential qualifying receipts Defined CHR-P field only · may never occur
- Contractual share to vehicle Express grant only
- Expenses / reserves Admin · reporting · holdback
- Holder distributions To register holders · may be zero

Preferred path vs fallback
Preferred (under evaluation): a platform-integrated close for eligible investors, with a permissioned digital record of participation at closing where that proves feasible.
Fallback: a conventional private placement with a legal investor register first — without a digital unit if the platform path cannot meet legal, operational, or investor-access requirements.
Both remain development objectives, not live offering terms. Community follow is separate from any regulated investment process.
What a permissioned digital unit would and would not do
Would (if used and approved): mirror contractual units for verified holders; support information rights and negotiated protective consents as documents require; transfer only when the register allows.
Would not: grant NWPharmaTech parent equity or an automatic parent board seat; ownership of the medicine, core IP, or patient data; votes on dose, endpoints, eligibility, safety, or regulatory submissions; a public retail mint, DEX listing, or permissionless trading venue on this site; any right created only by website copy or community membership.
Distributions to register holders may be zero. Operational milestones unlock programme spend — not an investor payday.
Register primacy and transfer rules
The legal investor register is the source of truth. If a permissioned digital unit exists and balances conflict with the register, the register wins.
Transfers only among legally eligible, KYC/AML-verified investors through a transfer-agent / allowlist process, subject to legends, lockups, and any right of first refusal the documents set. No open public order book, DEX, or permissionless secondary market is part of this proposed design.
What this site does not do today
- No Invest / Subscribe / Pay / Wallet / Mint interface
- No eligibility decision, allocation, or liquidity
- No participation percentage, unit supply, issuance price, or APY
- No medical or clinical voting by investors, tokenholders, or community
- No claim that planning capital fully funds the trial
